Terms and Conditions

1. Introduction and Acceptance of Terms
Welcome to Black Founders University ("BFU," "we," "us," or "our"). These Terms and Conditions ("Terms," "T&Cs") govern your access to and use of the BFU website, all associated subdomains, mobile applications, audiobooks, courses, content, memberships, and any other services, features, or functionalities offered by BFU (collectively, the "Services").
By creating an account, accessing, Browse, purchasing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and our Financial Disclaimer, all of which are incorporated herein by reference. If you do not agree to these Terms or any of our incorporated policies, you must not access or use our Services.
BFU reserves the right to modify, amend, or update these Terms at any time in its sole discretion. We will notify you of any material changes by posting the revised Terms on our website with an updated effective date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
2. Eligibility
To use our Services, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms, and in such case, "you" and "your" will refer to that entity. Our Services are primarily intended for Black entrepreneurs, creatives, and visionaries, but are open to all who meet these eligibility criteria and agree to these Terms.
3. Description of BFU Services
BFU is an online learning platform providing educational content primarily through audiobooks and memberships. Our Services are designed to empower Black entrepreneurs with culturally relevant, expert-led training in areas such as digital marketing, business scaling, automation, personal development, wealth management, and leadership. The specific content and features available may vary and are subject to change at BFU's discretion.
4. User Accounts
- Account Creation: To access certain features of the Services, including memberships and purchased audiobooks, you may be required to create a user account ("Account"). You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
- Account Responsibility & Security: You are solely responsible for maintaining the confidentiality of your Account login credentials (username and password) and for all activities that occur under your Account. You agree to notify BFU immediately of any unauthorized use of your Account or any other breach of security. BFU will not be liable for any loss or damage arising from your failure to comply with these security obligations.
- One Account Per User: Each individual is permitted to create only one Account. Accounts are non-transferable.
- Account Termination by BFU: BFU reserves the right to suspend or terminate your Account and access to the Services, at its sole discretion, without notice or liability, for any reason, including but not limited to a breach of these Terms.
5. License to Use Services
Subject to your compliance with these Terms, BFU grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services, including any purchased or membership-accessible content, solely for your personal, non-commercial, educational purposes. This license does not grant you any rights to use BFU's branding or logos
6. Intellectual Property Rights
All content included in or made available through the Services, such as audiobooks, text, graphics, logos, images, digital downloads, data compilations, software, and any other materials ("BFU Content"), is the exclusive property of Black Founders University or its content suppliers and is protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You agree not to:
- Copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any BFU Content without the prior written consent of BFU or the respective licensors.
- Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services or BFU Content.
- Create derivative works based on the BFU Content.
- Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices affixed to or contained within the BFU Content or Services.
7. Payments, Fees, Memberships, and Refunds
- Individual Audiobooks: You may purchase individual audiobooks at the prices listed on our platform. All purchases are final.
- Memberships: BFU offers Gold and Platinum membership subscriptions ("Memberships") providing access to designated collections of audiobooks as described on our Membership page.
- Billing: Membership fees are billed on a recurring basis (e.g., monthly or annually) as specified at the time of purchase. By subscribing, you authorize BFU to charge your chosen payment method for the recurring Membership fees.
- Automatic Renewal: Unless you cancel your Membership before the end of the current subscription period, your Membership will automatically renew for an equivalent period, and you authorize us to charge the then-applicable Membership fee to your payment method.
- Cancellation: You may cancel your Membership at any time through your Account settings or by contacting BFU support. Cancellation will be effective at the end of your current billing period. You will retain access to Membership content until the end of that period.
- Price Changes: BFU reserves the right to change Membership fees at any time. We will provide you with reasonable prior notice of any price changes. Your continued use of the Membership after the price change comes into effect constitutes your agreement to pay the modified Membership fee.
- Refund Policy: Payments for individual audiobooks and Membership fees are generally non-refundable. Once an audiobook is purchased or a Membership period has begun, BFU does not offer refunds or credits, including for partially used periods or unlistened-to content. Any exceptions to this policy will be at BFU's sole discretion or as may be required by applicable consumer protection laws in your jurisdiction. If you believe your situation warrants an exception, please contact BFU support.
- Payment Information: You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
8. User Conduct and Prohibited Uses
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable federal, provincial, local, or international law or regulation.
- Engage in any conduct that is fraudulent, harmful, abusive, harassing, defamatory, obscene, or otherwise objectionable.
- Infringe upon the intellectual property rights or other rights of BFU or any third party.
- Share your Account login credentials with any other person or allow any other person to access your Account.
- Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.
- Use the Services for any commercial purpose or for the benefit of any third party without BFU's express prior written consent.
- Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from BFU.
9. Term and Termination
These Terms will remain in full force and effect while you use the Services. BFU may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to, (a) breaches or violations of these Terms or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) discontinuance or material modification of the Services, or (d) unexpected technical or security issues or problems. You may terminate your Account and/or cancel your Membership at any time by following the instructions on the Services. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Disclaimers of Warranties
THE SERVICES AND ALL BFU CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, BFU, ITS AFFILIATES, AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
BFU DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BLACK FOUNDERS UNIVERSITY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BFU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY BFU CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL BFU'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE GREATER OF (I) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR (II) THE AMOUNT YOU HAVE PAID TO BFU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL BFU'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED THE GREATER OF (I) ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR (II) THE AMOUNT YOU HAVE PAID TO BFU IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to defend, indemnify, and hold harmless Black Founders University, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, any use of BFU Content, services, and products other than as expressly authorized in these Terms.
13. Governing Law and Dispute Resolution
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in Toronto, Ontario, Canada, before one arbitrator. The arbitration shall be administered by a recognized Canadian arbitration institution agreed upon by the parties, pursuant to its then-current streamlined arbitration rules and procedures. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN BFU AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS-ACTION-BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.
14. Privacy Policy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and share your personal information. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy, which is available on the BFU website.
15. Financial Disclaimer
Our Financial Disclaimer outlines important limitations regarding financial, investment, and business information provided through our Services. By using our Services, you acknowledge and agree to the terms of our Financial Disclaimer, which is available on the BFU website.
16. Miscellaneous
- Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
- Waiver: No waiver by BFU of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of BFU to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
- Assignment: These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by BFU without restriction.
- Entire Agreement: These Terms, together with our Privacy Policy and Financial Disclaimer, constitute the sole and entire agreement between you and Black Founders University regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
- Notices: BFU may provide you with notices, including those regarding changes to these Terms, by email, regular mail, or postings on the Services.
- Force Majeure: BFU shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond BFU's reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation.
